This Agreement is entered into between:

1. Purpose
The Foundation has agreed to provide human attention for knowledge, orchestration and conducting services to the Client, structured across the selfdriven Organisational Areas of Focus framework.
This Agreement defines the scope of services, the allocation of human attention across each Area of Focus, the associated monthly budgets, and the terms governing delivery and accountability.
2. Areas of Focus — Scope of Services
The [Provider Name] shall provide services across the following eight (8) Areas of Focus (“AoF”):

| 6 | Processes | The operational processes that drive enablement and the functioning of the organisation and protocol. |
| 7 | Accountability | Internal and external accountability, including sovereign state regulatory obligations. |
| 8 | Organisational | Coordination and synchronisation across Areas of Focus, including team alignment and physical spaces. |
3. Human Attention Allocation
3.1 Structure
Each Area of Focus shall be assigned:
- One (1) Primary Human — the individual with principal responsibility for the Area of Focus.
- Up to three (3) Support Humans — individuals providing supplementary attention to the Area of Focus.
3.2 Primary Human Responsibilities
The Primary Human for each AoF is responsible for:
- Sustaining focused attention on their designated Area of Focus.
- Coordinating with assigned Support Humans.
- Reporting progress and outcomes to the Foundation and the Client.
- Ensuring alignment with the overall Direction (AoF #1) of the organisation.
3.3 Support Human Responsibilities
Support Humans provide supplementary knowledge, orchestration, or conducting services within the AoF as directed by the Primary Human.
4. Monthly Budget Allocation
4.1 Budget per Area of Focus
Each Area of Focus is allocated a monthly budget of $20,000 AUD (exclusive of GST).

4.2 Areas of Focus #1–7 — Human Attention Allocation
For Areas of Focus numbered 1 through 7, the monthly budget is primarily allocated to human attention. Funds are distributed as follows:

The Primary Human receives the AoF monthly budget less $2,000 per supporting human, to a maximum of three (3).
4.3 Area of Focus #8 — Organisational
Area of Focus #8 (Organisational) includes allocation of funds to both human attention and physical services, including but not limited to:
- Office services and co-working spaces
- Accommodation for team members
- Travel costs for coordination and alignment activities
- Infrastructure (digital and physical)
The breakdown between human attention and physical services within the $20,000 monthly budget for AoF #8 shall be determined by the Primary Human in consultation with the Foundation, and reported monthly.

5. Service Delivery
5.1 Reporting
The [Provider Name] shall provide the Client with a monthly report for each Area of Focus, including:
- Summary of activities and attention applied.
- Progress against agreed objectives.
- Budget utilisation (human attention and, for AoF #8, physical services).
- Any risks, blockers, or proposed changes.
5.2 Coordination
The Primary Human for AoF #8 (Organisational) is responsible for coordination and synchronisation across all Areas of Focus, including facilitating regular alignment between Primary Humans.
5.3 Availability
Human attention under this Agreement is not measured in hours but in sustained focus, knowledge contribution, and orchestration outcomes. The Parties acknowledge that the nature of this work is cognitive and relational, not transactional.
6. Variations
6.1 Changes to Support Human Allocation
The number of Support Humans for any AoF may be varied by the Primary Human with written notice to the Foundation. Budget adjustments per Section 4.2 take effect from the following calendar month.
6.2 Reallocation Between Areas of Focus
With mutual written agreement of the Parties, budget may be reallocated between Areas of Focus on a monthly basis, provided the total monthly budget of $160,000 is not exceeded.
7. Term and Termination
7.1 Term
This Agreement commences on the Effective Date and continues for the agreed term unless terminated earlier in accordance with this Section.
7.2 Termination for Convenience
Either Party may terminate this Agreement by providing sixty (60) days’ written notice to the other Party.
7.3 Termination for Cause
Either Party may terminate this Agreement immediately by written notice if the other Party commits a material breach that remains unremedied for thirty (30) days after written notice of the breach.
8. Confidentiality
Each Party agrees to keep confidential all information disclosed by the other Party in connection with this Agreement, except where disclosure is required by law or with the prior written consent of the disclosing Party.
9. Governing Law
This Agreement is governed by the laws of [State/Territory/Country].
